This position will support the Office of the Corporate Secretary and the Legal Department to coordinate meetings of the Board of Directors and to ensure compliance with federal and state corporate governance and securities laws and regulations and New York Stock Exchange (NYSE) listing requirements. Support the Office of the Corporate Secretary and assist in matters relating to the Board of Directors, including preparing and maintaining meeting agendas, minutes, resolutions, written consents, and other corporate records; uploading and maintaining materials within the Board portal; coordinating new Director onboarding and orientation; and administering annual Board and Director evaluations. Maintain corporate governance records of the Company's charitable foundations, including preparing meeting minutes, written consents, and other corporate records; and uploading materials within the Board portal. Serve a key role in the preparation of the Company's proxy statement, including compiling critical information from key stakeholders within Accounting, Investor Relations, HR, and other departments; preparing and compiling results of director and officer questionnaires; gathering information regarding related party transactions and director independence; and coordinating with outside vendors including the Company's financial printer, transfer agent, and proxy design firm. Organize the annual meeting of shareholders, including preparing the agenda, script, and other documents; coordinating the printing and filing of the proxy statement and other materials; and arranging the meeting's webcast and online voting. Prepare and file Section 16 filings on Forms 3, 4 and 5; maintain beneficial ownership records; obtain and maintain EDGAR codes for Board members and Section 16 officers. Support the preparation of additional public company filings, including Forms 10-K, 10-Q and 8-K. Monitor compliance with NYSE listing requirements and provide required notices to NYSE, including annual and interim affirmations, and notice of dividends. Maintain corporate books and records and database of legal entities. Prepare quarterly dividend schedule in consultation with the stakeholders in Treasury and Accounting. Process and distribute quarterly audit response letters to external auditor from General Counsel and coordination with outside counsel on annual audit response letters, including preparation of letters to outside counsel. Assist with billing and budgeting for above activities. Bachelor's Degree 7-10 years of experience Notary certification (or willingness to obtain) is a plus Ability to handle multiple projects at once Understands DKS business and industry to maximize results; Politically agile Possesses strong issue-spotting, legal writing, critical reading and research skills Proficiency in Microsoft Office applications, Adobe Acrobat, Wdesk, board of directors platforms, legal entity management, and related software
Salary Range:
$80K -- $100K
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.
